At a recent meeting, Curtis Rostad, Indiana
Funeral Directors Association, lamented that he was looking for
financial or tax related speakers for his regional meetings next
fall. Gary Bolinger, CAE, Indiana CPA Society, looked with amazement
as one of his staff members' goals this year is to have more Indiana
CPA Society members speak to groups throughout the state. Needless
to say, both are working to meet their organizations' needs.

Community/Philanthropic Program winner Courtney Young
says:
"Every year, ACCA-Central Indiana Chapter identifies a
community partner to assist in finding qualified homeowners in the
City of Indianapolis who are on fixed incomes and who could not
otherwise afford to have their heating systems cleaned or checked.
Last year, I submitted our program for a Star Award in the category
'Community/Philanthropic Program' and it won! It means a lot to both
me and our association that our peers chose our program as one of
the best in Indiana"
We are excited to have Courtney Young from ACCA-Central Indiana
Chapter and Karen Lowry of Sheraton Hotel & Suites at Keystone
on board as our 2007 co-chairs for this year's event, which takes
place on December 6, 2007. This may seem like a long time away, but
entries need to be submitted to ISAE in September. Be sure to look
for a "call for entries" in your mail soon.
We hope to make this year's event the best Star Awards
ever!

The Internal Revenue Service posted information on its Web site
January 23 on changes to the instructions for filing 2006 Form 990
and Form 990-EZ. Some important changes include:
-
A supporting organization must now generally file Form 990 (or
Form 990-EZ, if applicable), even if its gross receipts are
normally less than $25,000.
-
The definition of related organization (used for purposes of
completing Form 990 line 75c) is clarified by listing eight
specific relationships.
-
The definition of related organization excludes certain bank
or financial institution trustees and certain common independent
contractors.
The last two bullets refer to new questions on the 990 in Part
V-A, 75b and 75c. These questions relate to relationships among your
board or key employees. These questions have been deemed too broad
by the American Society of Association Executives and the American
Institute of Certified Public Accountants. However, filers must
answer them.
IMPORTANT NOTE: It is important for
associations and non-profits to review these questions prior to
filing and consult with your tax preparer now. ISAE's Board of
Directors reviewed how it will answer these questions at our recent
meeting. Your board may need to have the same discussion so don't
delay in consulting with your tax preparer.

With the legislative session in full swing and many
association professionals planning their annual conference, the May
4th exam might not be the best timing. If you are unable to take the
exam in May, the early deadline for applications for the December
7th, 2007 exam is September 7th. It's never too early to start
planning! Make the CAE Exam your goal for 2007!

In order to continue the much requested discussion on Indiana
Non-Profit Law started at last summer's seminar, each month Synergy
will address a question from members pertaining to the current
Indiana law. As always, we encourage you to ask your corporate
attorney for clarification.
This month 's question has to do with Board
vacancies.
Q: Our organization recently had a board member
resign. Our bylaws are not clear on who can fill their vacancy or
the process. What can we do? A: The Indiana
Non-Profit Law states the following:
IC 23-17-12-14 Filling vacancies Sec. 14.
(a) Unless the articles of incorporation or bylaws provide otherwise
and except as provided in subsections (b) and (c), if a vacancy
occurs on a board of directors, including a vacancy resulting from
an increase in the number of directors, one (1) of the following may
occur: (1) The members entitled to vote for directors, if any,
may fill the vacancy. If the vacant office was held by a director
elected by a class, chapter, other organizational unit, or by region
or other geographic grouping, only members of the class, chapter,
unit, or grouping are entitled to vote to fill the vacancy if it is
filled by the members. (2) The board of directors may fill the
vacancy. (3) If the directors remaining in office constitute
fewer than a quorum of the board of directors, the remaining
directors may fill the vacancy by the affirmative vote of a majority
of the directors remaining in office. (b) Unless articles of
incorporation or bylaws provide otherwise, if a vacant office was
held by an appointed director, only the person who appointed the
director may fill the vacancy. (c) If a vacant office was held by
a designated director, the vacancy must be filled as provided in
articles of incorporation or bylaws. In the absence of an applicable
article of incorporation or bylaw, the vacancy may not be filled by
the board of directors. (d) A vacancy that will occur at a
specific later date because of a resignation effective at a later
date under section 7(b) of this chapter or otherwise may be filled
before the vacancy occurs. However, the new director may not take
office until the vacancy occurs. As added by P.L.179-1991,

Non-Profit Act that could benefit Indiana associations and their

ISAE's first 5:05 Club of the year was a hit,
with 30 ISAE members in attendance for an early St. Patrick's Day
celebration at Andrus O'Reilly's downtown. Many members were there
for a chance to socialize with their colleagues in an informal
setting outside of work. Thanks to our 5:05 Club co-chairs Tim
Murphy, CAE and Jillian Dampier for organizing this meeting. Look
for information on upcoming 5:05 Club dates in your inbox soon! And
be sure to invite a non-member to one.the more, the merrier.

ISAE's March Luncheon took place at the
Radisson Hotel at the Airport on March 7th. Seventy-four ISAE
members and guests attended the event to learn more about
negotiating contracts, attrition and cancellation. Special thanks to
our panelists; Debbie Locklear of Meeting Services Unlimited, Roe
Wright of Markey's Rental & Staging, and Doug Bennett of the
Indianapolis Convention & Visitors Association for providing
valuable answers to attendee's questions. We look forward to
seeing you at our next luncheon and seminar, "Educating Adult
Learners: Why the Same Old Thing Isn't Going to Work" at Hilton
Garden Inn Downtown Indianapolis on June 6th. Look for more
