ISAE Changes to Non-Profit Law: House Bill 1187 Update

We are excited to announce House Bill 1187 passed the Judiciary Committee 7-0, with only one amendment. The only amendment was the deletion of derivative proceedings which allowed these proceedings to occur in lieu of court action.  This was seen as a potential liability by the Committee but it was felt the section could be removed if needed without jeopardizing the spirit of and improvements to the legislation. House Bill 1187 also passed in the House on Thursday by a vote of 93-0 and is now on to the Senate.

Now we need your help. The rest of the session will move quickly so, please contact your legislators to voice your support for HB 1187 today.  To learn more about the bill, find your legislator, or read the bill in full, please visit ISAE's Web site at http://www.isae.org then click on the Capwiz link to track bill 1187 in the upper right hand corner. If your association's elected leader lives in Indiana, we also encourage you to contact them and ask for their support.

Watch your e-mail for ISAE Legislative Alerts on this and other issues important to Indiana’s associations and nonprofits.

NEW Form 990

The IRS has released a redesigned Form 990 that incorporates many of the recommendations made in public comments this summer. Organizations will need to begin using the new form for the 2008 tax year (returns filed in 2009). To view the form and schedules, please click here.

According to ASAE, the new form includes some, but not all, of the revisions suggested by ASAE. ASAE is currently studying the revised form and schedules carefully and will have a more detailed assessment of the form for the association community early this year.

ASAE Compensation Survey

ISAE and ASAE invite you to participate in the 2008 Association Executive Compensation & Benefits Study, conducted by ASAE & The Center for Association Leadership. This study was last updated in 2006.

Participation in the Association Executive Compensation & Benefits Study can be done either online or by postal mail:

1)You can click the link below and register to complete the survey securely and confidentially online. To complete the survey online go to: <<surveylink>>

OR

2)You can submit the hard-copy of the questionnaire that was mailed to you in the postal mail. Return instructions are provided on the form.

No matter how you choose to respond, all results will be kept strictly confidential and will be tabulated by Industry Insights, an independent survey research firm. Here are the benefits you and your organization will receive by participating in this important study:

  • Online access to an easy-to-use tool that will enable to you to define key demographic criteria and metrics to build user-defined salaries for positions with sufficient data.

  • A 25% discount on any publication you purchase.

  • NEW THIS YEAR. Since ISAE is collaborating with ASAE in this study, ASAE will provide access to results by our geographic area. Depending on the response, you will be able to access compensation statistics for Indiana specifically.

The key to the success of this study is high response. No matter how large or small your organization, there is something here for you – and you will have access to the online tool if you respond – even if you don’t purchase any of the publications. But, there has to be sufficient data so every response counts!

Thank you for participating in this important study. If you have any questions, please contact Haisong Peng, ASAE & The Center Research Manager at hpeng@asaecenter.org.

Don’t delay, respond today. Data collection will close on February 29, 2008!

Volunteer Forms – ISAE Knowledge Brokers Resources

In an effort to inform members of the valuable resources available on our members-only section of the ISAE Web site, we will highlight a different document each month. This month, we will review Volunteer Forms.

It’s that time of year to start organizing committees and task forces. Volunteers are important for most associations and non-profits in order to engage members and generate new ideas from those that benefit. In order to solicit volunteers, it may be helpful to have a volunteer form to use for your organization.

To view a sample Volunteer Form, log on to the members-only section of the ISAE Web site at www.isae.org/member. A sample Volunteer From can be found in the Membership section.

Members are also encouraged to contribute items for the members-only section of the ISAE website. These can only be accessed by ISAE members. Forward your policies to Laura Frank at lfrank@isae.org.

Indiana Non-Profit Law Q & A
In order to continue the much requested discussion on Indiana Non-Profit Law, each month Synergy will address a question from members pertaining to the current Indiana law. As always, we encourage you to ask your corporate attorney for clarification.

Q: Are those members in our associate member category allowed to vote at our annual meeting?

A: The Indiana Non-Profit law states the following:

IC 23-17-7-4
Rights and duties; membership classes

     Sec. 4. Members shall have the same rights and obligations with respect to:
        (1) voting;
        (2) dissolution;
        (3) redemption; and
        (4) transfer;
unless articles of incorporation or bylaws establish classes of membership with different rights or obligations. Members have the same rights and obligations with respect to any other matters, except as set forth in or authorized by articles of incorporation or bylaws. As added by P.L.179-1991, SEC.1.

To view Indiana Law related to Non-Profit Corporations, point your browser to the following link http://www.in.gov/legislative/ic/code/title23/ar17/.
E-mail ISAE staff if you have a question for next month’s issue.
