Okay, maybe not win the race yourself but be in the best suite in the house for it! The Indianapolis Convention and Visitors Association is generously supporting ISAE by offering two suite tickets to the Brickyard 400 as part of our green light to reaching 500 members in 2007. Think this is an impossible goal? It isn't. We only need 80 new members to reach the finish line. Not since 1989 has ISAE's membership reached these speeds and this is the year!

Here is your checklist to reach the winners circle:

  • Sponsor at least one new member by July 20. Click here to get a membership application. Write your name on the line as the referring member.

  • Your name will be entered once for each new member you referred that joins ISAE prior to July 20. Look at your colleagues, staff members and others that should be a member and increase your chances to win.

  • Watch for the drawing to be held at the ISAE Annual Convention on July 24-25 at French Lick Resort. One lucky member will win the experience of a lifetime - 2 suite tickets to the 2007 Brickyard 400. Educating Adult Learners: Why the Same Old Thing Isn’t Going to Work

Mark your calendar and make plans to join ISAE at our June 6th seminar and luncheon at the Hilton Garden Inn in downtown Indianapolis.

Lynda Wiley will share her expertise in educating adults at both the seminar and luncheon. Lynda is completing her doctoral dissertation in Adult, Higher and Community Education and currently serves as the Assistant Dean for Student Affairs and Director of Student Life at Ball State University. At the seminar, Lynda will engage attendees in in-depth discussions about adult learners, how they learn and how to translate into programming for your organization. At the luncheon, she will share keys to program planning and ways to make programs interesting and enjoyable. Attending both the seminar and luncheon provides attendees with separate but complimentary information.

Schedule – Seminar 9:00 a.m. – 11:30 a.m. (registration begins at 8:30 a.m.)
Luncheon Noon – 1:30 p.m. (registration begins at 11:30 a.m.)

  • Sherry Tilley, former Assistant Executive of the Evansville Area Association of REALTORS® has accepted the position of Senior Vice President with the Indiana Association of REALTORS®. Sherry started her new job on May 1st.

  • The Great Lakes Chapter of the Design Build Institute of America has relocated its headquarters from Chicago to Indianapolis. DBIA has hired Gary Price, President of The Mattison Corp., as their Executive Director.

  • MC Magazine, a trade magazine produced by the National Precast Concrete Association, received the Association Trends’ 2006 Bronze Award for overall excellence. Congratulations to Ty Gable, CAE and his staff for this honor.

  


    

On April 18th, the Board met to consider moving the ISAE Annual Meeting from the STAR Awards to the Annual Convention. The Board saw this change providing several benefits including:

  • Allowing the STAR Awards to focus on fun and celebration instead of business.

  • Providing ample time for new Board members and Officers to prepare for their new roles as well as arrange their schedules to meet their obligations.

The Board voted unanimously in favor of the change, which means elections for the 2008 Board will take place at our Annual Convention in French Lick this July. The ISAE Nomination Committee, chaired by Kevin Mayeux, CAE, will begin work on a slate to be forwarded to the membership in June.

This month, ISAE is launching a members-only section on our Web site. This area will include important information as part of your benefits of being an ISAE member. Included in this section will be documents our Knowledge Brokers Task Force has collected, including sample policies, forms and documents. Special thanks to last year’s Knowledge Broker Task Force Chair Kim Williams for her work on this project.

The Association Forum of Chicagoland has taken a step to becoming an “Open Source Association” through its launch of www.associationwiki.org. Inspired by Wikipedia, this Web site is intended to become a repository of terms, definitions, knowledge and explanations of association management. You do not have to be a member of the Forum to contribute to or use this site.
     
  

In order to continue the much requested discussion on Indiana Non-Profit Law started at last summer’s seminar, each month Synergy will address a question from members pertaining to the current Indiana law. As always, we encourage you to ask your corporate attorney for clarification.

Q: How do we go about changing one of our organization’s bylaws?
A: The Indiana Non-Profit Law states the following:

IC23-17-18
Chapter 18. Amendment of Bylaws

IC23-17-18-1
Amendment or repeal by directors; notice
Sec. 1. (a) A board of directors may amend or repeal a corporation's bylaws unless:
(1) articles of incorporation;
(2) bylaws; or
(3) this article;
provide otherwise, subject to approval required under IC 23-17-17-1. However, until the directors have been chosen, the incorporators have power to amend or repeal the bylaws. This section is subject to the class voting rules under section 2 of this chapter.
(b) The corporation must provide notice of any meeting of directors at which an amendment is to be approved. The notice must do the following:
(1) Be in accordance with IC 23-17-15-3.
(2) State that the purpose of the meeting is to consider a proposed amendment to the bylaws.
(3) Contain or be accompanied by a copy or summary of the amendment or state the general nature of the amendment.

The IRS and Congress have been focusing on nonprofit organizations in light of Sarbanes-Oxley requirements. According to an article entitled “Regulatory Spotlight Shines on NFPs” written by Roger Russell on www.webcpa.com, recent nonprofit scandals have pressured the IRS and caused Congress to take a new look at the nonprofit sector. Key points of the article include:

  • A panel on the nonprofit sector was put together in 2004 at the encouragement of the Finance Committee to accomplish best practices and have boards take ownership of nonprofits in an effort to keep the IRS out.

  • The panel made recommendations regarding conflict of interest statements, disclosure of relationships, and higher levels of oversight and transparency within the organization.

  • Recently, the panel came out with its second draft of principles for effective practice, laying guidelines on legal compliance, effective governance, financial oversight, and fundraising.
