It’s July and we know what that means…ISAE’s Convention is this month!
You have been receiving bi-weekly promotional emails about the 2007 Convention. If you haven’t signed up yet, save money by registering by the early bird cut-off date of July 9th. Due to overwhelming demand, French Lick has extended the hotel reservation date to July 3rd. This is the absolute last date you can reserve rooms at the special ISAE $99 rate. After this date, we can no longer guarantee rooms will be available, and the registration fees go up for the Convention! 1. You still have time to make it into our drawing at Convention for FREE suite tickets to the Brickyard. All you have to do is refer a non-member to ISAE. If they join, you will be entered to win two FREE Brickyard 400 suite tickets, courtesy of the Indianapolis Convention & Visitors Association. You must have your name on the non-member’s application and ISAE offices must have all non-member applications by July 19th.
2. Looking for FREE airplane tickets? You could win two free roundtrip tickets to anywhere in the continental United States at Convention. How? All you have to do is show up to the ISAE Annual Meeting after the last Convention break-out sessions at 3:45 pm on July 25. You could be that one winner, so be sure to stick around as you must be present to win! We would like to thank Cummings Meeting Consultants for supplying the airplane tickets.
3. Want to win another great prize? Each Convention attendee will be given a “punch card” at the beginning of the CVB Expo and Breakfast. Each CVB you visit will punch your card upon your visit to their booth. There will be a basket to collect the completed cards at the end of the breakfast. One winner will receive a FREE phone conference, courtesy of Telspan. A second winner will receive two VIP tickets, tent passes and parking pass to a concert at Verizon Wireless Music Center! A third winner will receive a free overnight stay at Indianapolis Marriott Downtown. You must visit all booths to qualify, so make an effort to visit each of our great CVB members’ booths.

Bose Public Affairs Group announced that Blake Jeffery, CAE has joined the firm as Vice President of Association Management. For the past eight years, Blake has owned his own association management firm. Before that he was director of environmental affairs for the Indiana Manufacturers Association and lobbied for the Indiana Chamber of Commerce.

According to the Indiana Department of Administration, effective June 4th new security regulations are now in place throughout the Capitol. These measures include weapons restrictions inside Government Center buildings, and designated visitor entrances to the Statehouse. Visitors will be required to pass through metal detectors, and all bags and packages will be x-rayed and may be subject to further inspection.
Public entry is now available at the following building entrances: Upper level east doors, closest to Capitol Ave. and Market Street and lower level, west doors, with access from Robert D. Orr Plaza (ADA accessible).
Take note of these before your next trip to the Capitol.

Michael Quinn’s son, Christopher Quinn, a past ISAE Officer during his position as Assistant Director of Indiana Motor Truck Association, was installed as the President of the Kentucky Society of Association Executives (KSAE) on Tuesday, June 5th. Quinn established a mood of high expectations for Presidential success by stroking a hole-in-one on the par 3 #11 hole at the Bowling Green Country Club the same day.


On June 14th, the IRS released its new draft version of Form 990. The form is 10 pages with 15 schedules for additional reporting compared to last year’s two schedules.
New sections on the form include questions about governance, conflict of interests, whistle-blower polices and audit committees. Officials say the form may undergo more changes, but a final form should be in effect for the 2008 filing year.

Have you used the NEW Member-Only Resources on the ISAE Web site? In an effort to inform members of these valuable resources, we will highlight a different available document. This month, we will review the conflict of interest policy.
The IRS, on the 2006 filing year Form 990, asked if your organization has a conflict of interest policy. Such a policy states that the Board must act at all times in the best interest of the organization and not for personal or third-party gain or financial enrichment. When encountering potential conflicts of interest, Board members must identify the potential conflict and remove themselves from all discussion and voting on the matter.
For conflict of interest policy samples, log on to the members-only section of the ISAE Web site at www.isae.org/member. Samples policies can be found under the Board section in Conflict of Interest Polices as well as Policy and Procedures documents.
Members are also encouraged to contribute policies. These can only be accessed by ISAE members. Forward your policies to Laura Frank at lfrank@isae.org.


In order to continue the much requested discussion on Indiana Non-Profit Law, each month Synergy will address a question from members pertaining to the current Indiana law. As always, we encourage you to ask your corporate attorney for clarification.
Q: Our Board would like to hold a special meeting at our convention; however, our convention is out-of-state. Is it legal to hold a special Board meeting out-of-state?
A: The Indiana Non-Profit Law states the following:
IC23-17-15-1
Regular and special meetings; location of meetings; means of participation in meeting
Sec. 1. (a) If the time and place of a directors' meeting is fixed by:
(1) bylaws; or
(2) the board of directors;
the meeting is a regular meeting. All other meetings are special meetings.
(b) The board of directors may hold regular or special meetings inside or outside of Indiana.
(c) Unless articles of incorporation or bylaws provide otherwise, a board of directors may permit a director to:
(1) participate in a regular or special meeting by; or
(2) conduct the meeting through the use of;
any means of communication by which all directors participating may simultaneously hear each other during the meeting. A director participating in a meeting by this means is considered to be present in person at the meeting.

Over 80 ISAE members and non-members gathered at the Hilton Garden Inn Downtown for a seminar and luncheon on educating adult learners. The luncheon was designated by the Membership Committee as a new member-recruitment event. Close to 25 non-members were in attendance at the event, with two joining shortly after. General Hotel Corporation graciously donated an overnight stay and dinner for two at the Holiday Inn Select Airport/Chanteclair Restaurant for one non-member in attendance and two free tickets for admission to the Caribbean Cove Indoor Waterpark at Holiday Inn North at the Pyramids for one member that brought a non-member. Congratulations to Donna Jacobsen of Danesport Group on winning the water-park gift certificate and to Jennifer Huston, Intern at the Indiana Broadcasters Association, on winning the overnight stay and dinner at Holiday Inn Select at the Airport.
French Lick also gave away a free overnight stay for two at French Lick Resort & Casino with complimentary breakfast and spa treatments to Jim Nirmaier of the Fort Wayne/Allen County Convention & Visitors Bureau for pre-registering for the ISAE Convention. Congratulations, Jim!
