At ISAE’s last board meeting, the board adopted a Whistleblower Policy…has your association done this yet?
A Whistleblower Policy is an important document to retain in compliance with Sarbanes-Oxley. This policy outlines the proper actions for staff, directors, volunteers and employees to report concerns to the correct people without fear of retaliation as long as the person reporting the concern is acting in good faith. It also allows that person to maintain confidentiality as much as possible.
ISAE’s Web site has more than 40 documents, including sample Whistleblower Policies. Click here to review sample policies and other documents on ISAE’s members-only section of the Web site. We will also be highlighting a different policy in each edition of Synergy, so stay tuned!

According to www.webcpa.com, the Internal Revenue Service is planning on redesigning Form 990. Here are some of the main points of the article:

The IRS is planning to solicit comments on Form 990 from the public beginning in June.

The IRS would like to design the form in a more organized manner, containing more questions about organizations’ liabilities, revenue and programs.

The Indiana CPA Society has a free program called “CPAs Lead the Way”. This program is a free service that matches CPAs in leadership positions with Indiana not-for-profits and civic organizations. In order to continue the much requested discussion on Indiana Non-Profit Law started at last summer’s seminar, each month Synergy will address a question from members pertaining to the current Indiana law. As always, we encourage you to ask your corporate attorney for clarification.
Q: Our Board currently has 10 members. Can we add or subtract board members?
A: The Indiana Non-Profit Law states the following:
IC 23-17-12-3
Number of directors; increase or decrease in number
Sec. 3. (a) A board of directors must consist of at least three (3) individuals, with the number specified in or fixed in accordance with articles of incorporation or bylaws.
(b) The number of directors may be increased or decreased, but to not less than three (3), by an amendment to or in a manner prescribed in articles of incorporation or bylaws.
