Have you renewed your investment in ISAE? If your answer is no, send your
dues in as soon as possible. Anyone who has not sent in their dues renewals
by February 28, 2007 will be considered “lapsed” in our database.
This means you will not be able to utilize all of the “perks” associated
with being a member such as: access to members through the online directory,
member rates at professional development programs, the monthly Synergy, and
much more! Send in your dues renewals today!

The results are in from the December CAE exam. All three of the Indiana participants
passed! Congratulations to the following association professionals:

CAE Exam Information

Are they ISAE members? Shouldn’t they be? You can easily find this
information on the ISAE Web site at: http://www.isae.org/directory.php
When
you make your next buying decision or do payables, take a moment
to review your list of vendors. If they are ISAE members, let them know
their membership in ISAE is important to you. If they are not ISAE
members,
consider asking them to join ISAE.
ISAE past President and
current member Tim Murphy, CAE, shared a memo his organization
sends to potential vendors. It reads:
TO: ILBSA’s professional service
providers and potential vendors
FR: Timothy J. Murphy, CAE
RE: Doing business with Indiana Lumber and Builders’ Supply Association
As
a statewide association for over 122 years, ILBSA’s volunteers and
staff inherently understand the great impact
the entire not-for-profit association community has upon the economy
of the State of Indiana, and the nation as a
whole. Our members, too, understand the importance
of their membership in ILBSA for the numerous membership and industry
benefits.
As such, we prefer to conduct business with those companies and
firms who understand this dynamic
and support the association management
profession.
One of our guidelines for selecting vendors
/ professional partners
is membership in the trade/professional
association that represents your product, trade,
industry, or profession; as well as the
Indiana Society of Association Executives (for resident
companies and professionals, when
applicable).
Recently, our office has been contacted
by hotel / meeting venue representatives asking us
to consider their facilities for our events.
Please
note that our
association’s annual, regional, and professional development
meetings are only contracted
with those providers who are members of The Indiana Society of
Association Executives (www.isae.org).
This assists our volunteers and staff
in knowing that the property
and its meeting professionals automatically understand our needs,
making our
meetings
most successful and enjoyable.
I thank you for your interest in conducting business with our
association, as well as the many
other professional, trade, and fraternal associations located within
our
community;
and look forward to learning
more about your products and services.
(Just so you know, he started this program
years before his wife became ISAE’s Executive!)
Please consider
implementing a similar program
within your association. Not only will it improve ISAE membership,
it will also strengthen
the bond with and value to
our current associate members.

(35% actively and 40% passively).
... 3 out of 5 say they will leave in the next 2 years.
... We are in a “War for Talents” that will intensify as the approximately
73 million Baby Boomers are beginning to retire.
This interactive discussion
will include:
... Why do employees leave organizations?
... Why do they stay?
... What is the cost of turnover?
... What do people want from work?
... What are the top 10 ways to keep top talent?

In order to continue the much requested discussion on Indiana Non-Profit
Law started at last summer’s seminar, each month Synergy will address
a question from members pertaining to the current Indiana law. As always,
we encourage you to ask your corporate attorney for clarification.
This month’s
question has to do with records and reports.
Q: What do you do
if a member requests a copy of your organization’s
financial statement? What are you obligated to present
to that member based on Indiana ’s
Law?
A: Current Indiana law states
the following*:
IC 23-17-27
Chapter 27. Records and Reports
IC 23-17-27-2
Member's right to inspect and copy records
Sec. 2. (a) Subject to subsection (e) and section 3(c)
of this chapter, a member is entitled
to inspect and copy, at a reasonable time and location specified
by the corporation, the records of the
corporation described in section 1(e) of this chapter if the member gives
the
corporation written notice or
a written
demand at least five (5) business days
before the date on which the member desires to inspect and copy.
(b) Subject to subsection (e), a member may inspect
and copy, at a reasonable time and reasonable
location specified by the corporation, the following
records of the corporation if the member
meets the requirements of subsection (c) and
gives the corporation written notice
at least five (5) business days before the date on which the member desires
to
inspect and
copy:
(1) Excerpts from records required to
be maintained under section 1(a) of this chapter, to
the extent not subject to inspection
under subsection (a).
(2) Accounting records of the corporation.
(3) Subject to section 5 of this chapter,
the membership list.
(c) A member may inspect and copy the
records identified in subsection (b) only if the following conditions
exist:
(1) The member's demand is made in good
faith and for a proper purpose.
(2) The member describes with reasonable
particularity the purpose and the records the member desires
to inspect.
(3) The records are directly connected
with the purpose.
(d) This section does not affect the
following:
(1) The rights of a member to inspect
records under IC 23-17-11-1 or, if the member is in litigation with
the corporation,
to
the same extent
as
any other
litigant.
(2) The power of a court, independently
of this article, to compel the production of corporate records for
examination.
(e) The articles of incorporation or
bylaws of a religious corporation may limit or abolish the right of
a member under
this section
to inspect and copy a corporate
record.
(f) The articles of incorporation of
a corporation may limit or abolish the following:
(1) The right of a member to obtain from
the corporation information as to the identity of contributors to the
corporation.
(2) The right of a member or the member's
